1. DISPOSITIONS GÉNÉRALES

Les présentes conditions générales de vente (ci-après « CGV ») sont applicables à toutes les ventes de Produits (tels que définis à l'article 2) conclues entre la société M.L.B., dont le siège social est situé 22, rue du Quatre-Septembre, 75002 Paris, immatriculée au registre du commerce et des sociétés de Paris sous le n° 539 609 230 (ci-après « Maison Labiche »), en sa qualité de vendeur, et toute personne physique ou morale professionnelle dont la vente des Produits entre dans son champ d'activité principale (ci-après le « Client »).

Les CGV prévalent sur tout document émanant du Client, notamment ses conditions générales d'achat, sauf dérogation expresse et écrite de Maison Labiche. Des conditions particulières peuvent être convenues par écrit par Maison Labiche avec le Client, y compris après la confirmation de la commande ; elles prévalent alors sur les CGV.

2. PRODUITS

Les Produits vendus par Maison Labiche au Client sont issus du catalogue consultable à l'adresse http://www.showroom.maisonlabiche.com/ (ci-après le « Catalogue »), sur lequel les Produits sont assortis d'un descriptif mentionnant leurs caractéristiques essentielles et d'une photographie illustrative. Ces photographies sont les plus exactes possibles mais n'ont pas de valeur contractuelle, Maison Labiche ne pouvant assurer une similitude parfaite avec le Produit, notamment en ce qui concerne les nuances de couleurs.

3. COMMANDES ET ACCEPTATION DES CGV

Le Client passe sa commande soit directement sur le showroom digital de Maison Labiche, soit par l'intermédiaire d'un commercial agissant directement ou indirectement pour le compte de Maison Labiche. Sur le showroom digital, après avoir sélectionné les Produits, le Client accède successivement à (i) un récapitulatif de sa commande l'informant du détail des Produits commandés et du prix total de la commande ; (ii) une page l'invitant à renseigner ses informations de contact et sur laquelle les CGV sont consultables ; (iii) une demande de transmission de la commande et d'acceptation des CGV.

Lorsque la commande est transmise par tout autre moyen (bon de commande, fichier, courriel), elle est saisie par Maison Labiche sur le showroom digital pour le compte du Client.

La transmission de la commande par le Client n'entraîne pas la formation du contrat. Le contrat est formé à la confirmation de la commande par Maison Labiche sur le showroom digital, notifiée au Client par un courriel automatique adressé à l'adresse utilisée lors de la commande. Cette confirmation porte sur les Produits commandés et le prix total de la commande ; elle peut préciser, le cas échéant, les conditions de paiement, l'Incoterm applicable, le montant de l'acompte et la période de livraison.

Dans tous les cas, les CGV applicables sont celles en vigueur à la date de confirmation de la commande. Elles sont communiquées au Client avec la confirmation et restent consultables à tout moment sur le showroom digital. Le Client est réputé les avoir acceptées sans réserve à compter de la confirmation, sauf objection écrite de sa part dans un délai de 3 (trois) jours ouvrés suivant sa réception. Le versement de l'acompte ou tout paiement vaut en tout état de cause acceptation des CGV.

À compter de sa confirmation, la commande est ferme et définitive, conformément à l'article 5.

Maison Labiche se réserve la possibilité d'annuler tout Produit qui ne pourrait être produit ou livré. Elle peut alors proposer au Client un produit de remplacement ; à défaut d'accord du Client dans un délai de 5 (cinq) jours ouvrés, la commande est maintenue sans ce Produit, dont le prix est déduit du prix total, sans que le Client puisse prétendre à une quelconque indemnité.

4. MODALITÉS DE PAIEMENT

Sauf conditions particulières convenues par écrit avec le Client, les modalités de paiement sont les suivantes.

À la confirmation de sa commande, le Client verse un acompte correspondant à 30 % TTC du prix total de la commande, payable à réception de la confirmation.

Préalablement à chaque expédition, Maison Labiche adresse au Client une facture proforma correspondant aux Produits à expédier, déduction faite de l'acompte le cas échéant. À défaut de règlement, Maison Labiche est en droit de ne pas expédier les Produits. Les livraisons pouvant être partielles, chaque expédition donne lieu à une facture distincte, émise au jour de l'expédition.

Tout retard de paiement entraîne de plein droit, dès le lendemain de la date d'échéance et sans mise en demeure préalable : (i) des pénalités de retard égales à trois fois le taux d'intérêt légal en vigueur, calculées sur le montant TTC dû ; (ii) une indemnité forfaitaire de 40 € pour frais de recouvrement, sans préjudice d'une indemnisation complémentaire sur justificatifs ; (iii) la suspension des livraisons et des commandes en cours ; (iv) l'exigibilité immédiate de toutes les sommes dues par le Client.

Les frais bancaires occasionnés par un virement international sont à la charge du Client.

Les créances de Maison Labiche peuvent être cédées à un établissement d'affacturage. Le Client en est alors informé par une mention portée sur la facture et doit régler directement auprès de cet établissement.

5. CONDITIONS D'ANNULATION ET DE MODIFICATION

La commande confirmée est ferme et définitive : elle ne peut être ni annulée ni modifiée par le Client, et l'intégralité de son prix reste due à Maison Labiche.

6. TRANSFERT DE PROPRIÉTÉ ET DES RISQUES

Maison Labiche conserve la propriété des Produits jusqu'au paiement intégral du prix. Jusqu'à ce paiement, le Client peut néanmoins vendre les Produits à sa clientèle dans le cadre normal de son activité. Les risques attachés aux Produits sont transférés au Client dès leur remise au transporteur ou au Client.

7. EXPÉDITION ET LIVRAISON

La période de livraison figure dans la confirmation de commande. Les Produits sont livrés dès leur disponibilité au cours de cette période ; le Client s'engage à les réceptionner, et tout report de livraison à sa demande est soumis à l'accord préalable et écrit de Maison Labiche. Les livraisons peuvent être partielles, le solde étant livré au fur et à mesure de sa disponibilité. Un retard de livraison ne peut donner lieu à aucune pénalité ni indemnité.

Sauf conditions particulières, notamment en cas d'enlèvement des Produits par le Client, les envois des Produits sont pris en charge par un prestataire logistique mandaté par Maison Labiche, qui achemine les Produits vers l'adresse indiquée par le Client. La responsabilité de Maison Labiche ne pourra être engagée si l'adresse communiquée par le Client est erronée, empêchant ou retardant la livraison.

Sauf conditions particulières, les frais d'expédition et de livraison sont à la charge du Client. Pour les livraisons hors de France, les droits de douane, taxes et formalités d'importation sont également à la charge du Client. Selon les cas, ces frais sont réglés directement par le Client ou avancés par Maison Labiche puis refacturés au Client.

À la livraison, il appartient au Client de vérifier que les Produits livrés sont conformes à la commande. En cas d'avarie ou de colis manquant, le Client doit émettre des réserves précises sur le document de transport et les confirmer au transporteur dans le délai prévu par la réglementation applicable (3 jours en France), faute de quoi aucune réclamation à ce titre ne sera recevable.

8. RÉCLAMATIONS ET ÉCHANGES

Les Produits sont garantis neufs et sans défaut. Toutefois, si malgré tous les efforts de Maison Labiche un Produit livré présente un défaut, le Client doit en avertir Maison Labiche par courriel à l'adresse showroom@maisonlabiche.com dans un délai de 3 (trois) jours ouvrés suivant la livraison, en indiquant les références du Produit concerné et en joignant une photographie de haute qualité du défaut allégué.

À défaut de respect de ces conditions, le Produit sera réputé sans défaut et aucun échange ne sera possible.

Si ces conditions sont respectées, Maison Labiche informera le Client par courriel de la procédure de renvoi, laquelle devra impérativement être respectée. Si le défaut est confirmé, Maison Labiche procédera à l'échange du ou des Produits concernés par le ou les mêmes Produits ou, à défaut de disponibilité, au remboursement de leur prix dans ses meilleurs délais et au plus tard dans un délai de 20 (vingt) jours suivant leur réception.

Postérieurement à la livraison et au complet paiement des Produits commandés, le Client peut solliciter, une unique fois par collection, un échange de Produits livrés et sans défaut, par courriel à l'adresse showroom@maisonlabiche.com, sous réserve du respect des conditions suivantes : (i) les Produits à échanger ne représentent pas plus de 20 % du prix total HT de la commande ; (ii) le Client s'engage à commander des Produits de la même collection, parmi les Produits disponibles indiqués par Maison Labiche, pour un montant représentant au moins 130 % HT du prix des Produits échangés (par exemple, pour des Produits échangés d'une valeur de 1 000 € HT, le Client s'engage à commander des Produits à hauteur de 1 300 € HT) ; (iii) la demande d'échange est adressée au plus tard le 31 mai pour les collections Printemps-Été et le 30 novembre pour les collections Automne-Hiver ; (iv) le Client retourne les Produits concernés dans un délai maximum de 10 (dix) jours à compter de l'accord de Maison Labiche ; (v) les frais de renvoi des Produits échangés et de réexpédition des nouveaux Produits demeurent à la charge du Client.

Maison Labiche procédera à l'expédition des nouveaux Produits dans ses meilleurs délais et au plus tard dans un délai de 20 (vingt) jours suivant la réception des Produits échangés.

Un Produit lavé par quelque moyen que ce soit, ou porté, même défectueux, ne peut faire l'objet d'aucune réclamation ni d'aucun échange.

9. PROPRIÉTÉ INTELLECTUELLE

Maison Labiche est une marque protégée, déposée auprès de l'INPI et de l'OMPI.

Nul n'est autorisé à reproduire, exploiter, distribuer, copier, vendre, stocker, louer ou utiliser à quelque titre que ce soit, même partiellement, des éléments du site ou publiés par Maison Labiche, notamment et sans limitation tous textes, fichiers, images animées ou non, photographies, vidéos, logos, dessins, modèles, logiciels, marques, identités visuelles, bases de données, structure du site et tous autres éléments de propriété intellectuelle protégés par les lois et règlements français, européens et internationaux, sauf accord écrit et exprès de Maison Labiche.

À défaut, Maison Labiche se réserve la possibilité d'entreprendre toutes les actions judiciaires à sa disposition à l'encontre des personnes qui n'auraient pas respecté ces interdictions.

10. LIEU ET CONDITIONS DE REVENTE

Le Client s'engage à ne vendre les Produits qu'aux consommateurs finaux, exclusivement dans les magasins ou lieux de vente indiqués lors de sa commande, ou à d'autres revendeurs agréés du réseau de distribution sélective de Maison Labiche, sous réserve d'en informer préalablement Maison Labiche par écrit. Ne sont pas considérés comme des revendeurs agréés les points de vente de déstockage ou de type outlet, y compris ceux avec lesquels Maison Labiche travaille directement. Ainsi, sauf accord écrit et exprès de Maison Labiche, le Client ne peut revendre les Produits à des revendeurs non agréés, ni procéder à la vente des Produits sur des places de marché en ligne ou des sites Internet spécialisés dans la vente au rabais.

Si ces conditions ne sont pas respectées, Maison Labiche se réserve la possibilité d'entreprendre toutes les actions judiciaires à sa disposition pour obtenir réparation du préjudice subi et faire cesser les ventes interdites.

Maison Labiche communique au Client des prix de vente conseillés ; le Client reste libre de déterminer ses prix de revente. Il s'engage toutefois à préserver l'image haut de gamme de la marque Maison Labiche, notamment dans la présentation et la mise en avant des Produits.

11. DROIT APPLICABLE ET JURIDICTION COMPÉTENTE

Tout litige relatif à l'interprétation ou à l'exécution des CGV est soumis au droit français. À défaut d'accord amiable, tout litige entre les parties sera soumis à l'appréciation des juridictions du ressort de la cour d'appel de Paris.

Les CGV sont rédigées en français et traduites en anglais. En cas de divergence entre les deux versions, la version française prévaut.

1. GENERAL PROVISIONS

These general terms and conditions of sale (hereinafter the “GTCS”) apply to all sales of Products (as defined in Article 2) concluded between M.L.B., a company whose registered office is located at 22, rue du Quatre-Septembre, 75002 Paris, France, registered with the Paris Trade and Companies Register under number 539 609 230 (hereinafter “Maison Labiche”), as seller, and any professional natural or legal person whose main business activity includes the sale of the Products (hereinafter the “Customer”).

The GTCS prevail over any document issued by the Customer, in particular its general terms and conditions of purchase, unless expressly waived in writing by Maison Labiche. Special conditions may be agreed in writing by Maison Labiche with the Customer, including after the order has been confirmed; such special conditions shall then prevail over the GTCS.

2. PRODUCTS

The Products sold by Maison Labiche to the Customer are taken from the catalogue available at http://www.showroom.maisonlabiche.com/ (hereinafter the “Catalogue”), in which each Product is accompanied by a description of its essential characteristics and an illustrative photograph. These photographs are as accurate as possible but are not contractually binding, as Maison Labiche cannot guarantee a perfect match with the Product, particularly with regard to colour shades.

3. ORDERS AND ACCEPTANCE OF THE GTCS

The Customer places its order either directly on Maison Labiche's digital showroom or through a sales representative acting directly or indirectly on behalf of Maison Labiche. On the digital showroom, after selecting the Products, the Customer successively accesses (i) a summary of its order setting out the details of the Products ordered and the total price of the order; (ii) a page inviting the Customer to enter its contact details, on which the GTCS can be consulted; (iii) a request to submit the order and accept the GTCS.

Where the order is submitted by any other means (purchase order, file, e-mail), it is entered by Maison Labiche on the digital showroom on behalf of the Customer.

The submission of the order by the Customer does not form the contract. The contract is formed upon confirmation of the order by Maison Labiche on the digital showroom, notified to the Customer by an automatic e-mail sent to the address used when placing the order. This confirmation covers the Products ordered and the total price of the order; where applicable, it may specify the payment terms, the applicable Incoterm, the amount of the deposit and the delivery period.

In all cases, the applicable GTCS are those in force on the date the order is confirmed. They are provided to the Customer with the confirmation and may be consulted at any time on the digital showroom. The Customer shall be deemed to have accepted them without reservation as from the confirmation, unless the Customer objects in writing within 3 (three) business days of its receipt. In any event, payment of the deposit or any other payment shall constitute acceptance of the GTCS.

Once confirmed, the order is firm and final, in accordance with Article 5.

Maison Labiche reserves the right to cancel any Product that cannot be produced or delivered. In such case, it may offer the Customer a replacement product; failing the Customer's agreement within 5 (five) business days, the order shall be maintained without that Product, the price of which shall be deducted from the total price, without the Customer being entitled to any compensation whatsoever.

4. PAYMENT TERMS

Unless special conditions have been agreed in writing with the Customer, the payment terms are as follows.

Upon confirmation of its order, the Customer shall pay a deposit equal to 30% of the total price of the order, inclusive of VAT where applicable, payable upon receipt of the confirmation.

Prior to each shipment, Maison Labiche sends the Customer a pro forma invoice for the Products to be shipped, less the deposit where applicable. Failing payment, Maison Labiche shall be entitled not to ship the Products. As deliveries may be partial, each shipment gives rise to a separate invoice, issued on the date of shipment.

Any late payment shall automatically entail, from the day following the due date and without prior formal notice: (i) late payment penalties equal to three times the French statutory interest rate (taux d'intérêt légal) in force, calculated on the amount due inclusive of VAT; (ii) a fixed indemnity of €40 for recovery costs, without prejudice to additional compensation upon presentation of supporting documents; (iii) the suspension of deliveries and pending orders; (iv) all sums owed by the Customer becoming immediately due and payable.

Bank charges incurred by international transfers shall be borne by the Customer.

Maison Labiche's receivables may be assigned to a factoring company. The Customer shall then be informed thereof by a notice on the invoice and must pay that company directly.

5. CANCELLATION AND MODIFICATION

Once confirmed, the order is firm and final: it may neither be cancelled nor modified by the Customer, and its full price remains due to Maison Labiche.

6. TRANSFER OF OWNERSHIP AND RISK

Maison Labiche retains ownership of the Products until full payment of the price. Until such payment, the Customer may nevertheless sell the Products to its customers in the ordinary course of its business. The risks relating to the Products pass to the Customer as soon as they are handed over to the carrier or to the Customer.

7. SHIPPING AND DELIVERY

The delivery period is set out in the order confirmation. The Products are delivered as soon as they become available during that period; the Customer undertakes to accept delivery, and any postponement of delivery at its request is subject to the prior written consent of Maison Labiche. Deliveries may be partial, the balance being delivered as it becomes available. A delay in delivery shall not give rise to any penalty or compensation.

Unless otherwise agreed, in particular where the Customer collects the Products itself, shipments of the Products are handled by a logistics provider appointed by Maison Labiche, which delivers the Products to the address indicated by the Customer. Maison Labiche shall not be held liable if the address provided by the Customer is incorrect, thereby preventing or delaying delivery.

Unless otherwise agreed, shipping and delivery costs are borne by the Customer. For deliveries outside France, customs duties, taxes and import formalities are also borne by the Customer. Depending on the case, these costs are either paid directly by the Customer or advanced by Maison Labiche and then re-invoiced to the Customer.

Upon delivery, the Customer is responsible for checking that the Products delivered comply with the order. In the event of damage or missing parcels, the Customer must record specific reservations on the transport document and confirm them to the carrier within the time limit set by the applicable regulations (3 days in France), failing which no claim in this respect shall be admissible.

8. CLAIMS AND EXCHANGES

The Products are guaranteed new and free from defects. However, if despite all of Maison Labiche's efforts a delivered Product has a defect, the Customer must notify Maison Labiche by e-mail at showroom@maisonlabiche.com within 3 (three) business days of delivery, stating the references of the Product concerned and attaching a high-quality photograph of the alleged defect.

If these conditions are not met, the Product shall be deemed free from defects and no exchange shall be possible.

If these conditions are met, Maison Labiche shall inform the Customer by e-mail of the return procedure, which must be strictly followed. If the defect is confirmed, Maison Labiche shall exchange the Product(s) concerned for the same Product(s) or, if unavailable, refund their price as soon as possible and at the latest within 20 (twenty) days of receiving them.

After delivery and full payment of the Products ordered, the Customer may request, once per collection, an exchange of delivered Products that are free from defects, by e-mail at showroom@maisonlabiche.com, subject to the following conditions: (i) the Products to be exchanged do not represent more than 20% of the total price of the order, excluding VAT; (ii) the Customer undertakes to order Products from the same collection, from among the available Products indicated by Maison Labiche, for an amount equal to at least 130% of the price of the exchanged Products, excluding VAT (for example, for exchanged Products worth €1,000 excluding VAT, the Customer undertakes to order Products worth €1,300 excluding VAT); (iii) the exchange request is sent no later than 31 May for Spring-Summer collections and 30 November for Autumn-Winter collections; (iv) the Customer returns the Products concerned within a maximum of 10 (ten) days of Maison Labiche's approval; (v) the costs of returning the exchanged Products and of shipping the new Products remain the responsibility of the Customer.

Maison Labiche shall ship the new Products as soon as possible and at the latest within 20 (twenty) days of receiving the exchanged Products.

A Product that has been washed by any means whatsoever, or worn, even if defective, shall not be eligible for any claim or exchange.

9. INTELLECTUAL PROPERTY

Maison Labiche is a protected trademark, registered with the French National Institute of Industrial Property (INPI) and the World Intellectual Property Organization (WIPO).

No one is authorised to reproduce, exploit, distribute, copy, sell, store, rent or use in any way whatsoever, even partially, any elements of the website or published by Maison Labiche, including without limitation all texts, files, animated or still images, photographs, videos, logos, designs, models, software, trademarks, visual identities, databases, website structure and all other intellectual property elements protected by French, European and international laws and regulations, without the express written consent of Maison Labiche.

Failing this, Maison Labiche reserves the right to take any legal action available to it against any person who has not complied with these prohibitions.

10. PLACE AND CONDITIONS OF RESALE

The Customer undertakes to sell the Products only to end consumers, exclusively in the stores or points of sale indicated when placing its order, or to other authorised retailers of Maison Labiche's selective distribution network, subject to informing Maison Labiche in writing beforehand. Off-price or outlet-type points of sale, including those with which Maison Labiche works directly, are not considered authorised retailers. Accordingly, unless expressly agreed in writing by Maison Labiche, the Customer may not resell the Products to non-authorised retailers, nor sell the Products on online marketplaces or on websites specialising in discount sales.

If these conditions are not complied with, Maison Labiche reserves the right to take any legal action available to it to obtain compensation for the loss suffered and to put an end to the prohibited sales.

Maison Labiche provides the Customer with recommended retail prices; the Customer remains free to set its own resale prices. The Customer nevertheless undertakes to preserve the high-end image of the Maison Labiche brand, in particular in the presentation and showcasing of the Products.

11. GOVERNING LAW AND JURISDICTION

Any dispute relating to the interpretation or performance of the GTCS shall be governed by French law. Failing an amicable settlement, any dispute between the parties shall be submitted to the courts within the jurisdiction of the Paris Court of Appeal.

The GTCS are drafted in French and translated into English. In the event of any discrepancy between the two versions, the French version shall prevail.
