1.  DISPOSITIONS GÉNÉRALES

Les présentes conditions générales de vente (ci-après « CGV ») sont applicables à toutes les ventes de Produits (tels que définis à l’article 2) conclues entre la société M.L.B. dont le siège social est situé 5, rue d’Aboukir, 75002 Paris, immatriculée auprès du registre du commerce et des sociétés de Paris sous le n° 553 606 230 (ci-après « Maison Labiche ») en sa qualité de vendeur et toute personne physique ou morale professionnelle dont la vente des Produits entre dans son champ d’activité principale (ci-après le « Client »).

2. PRODUITS

Les Produits vendus par Maison Labiche auprès du Client sont issus du catalogue consultable à l’adresse http://www.showroom.maisonlabiche.com/ (ci-après le « Catalogue ») et sur lequel les Produits sont assortis d’un descriptif mentionnant leurs caractéristiques essentielles et d’une photographie illustrative. Ces photographies sont les plus exactes possibles mais n’ont pas de valeur contractuelle, dès lors que Maison Labiche ne peut assurer une similitude parfaite avec le Produit, notamment en ce qui concerne les nuances de couleurs.

3. COMMANDES ET ACCEPTATION EXPRESSE DES CGV

Le Client passe sa commande soit directement sur le showroom digital de Maison Labiche soit par l’intermédiaire d’un commercial agissant directement ou indirectement pour le compte de Maison Labiche. Après avoir sélectionné les Produits objet de la commande, le Client accède successivement à (i) un récapitulatif de sa commande l’informant du détail des Produits commandés et du prix total de la commande ; (ii) une page l’invitant à renseigner ses informations de contact et sur laquelle les CGV sont consultables ; (iii) une demande de validation de la commande et d’accord des CGV. Cette validation par le Client entraîne l’acceptation sans réserve des CGV. La validation de la commande n’entraîne pas formation du contrat entre le Client et Maison Labiche, lequel n’est formé qu’après confirmation de la commande par Maisons Labiche, dans les conditions ci-après.

Dans ses meilleurs délais, Maison Labiche adressera au Client par courriel une confirmation de la commande intégrant les informations suivantes : récapitulatif des produits commandés, coût total de la commande, détail des montants et échéances des acomptes devant être versés par le Client, informations nécessaires à la réalisation des paiements, période de livraison des Produits, éléments de tarification des frais d’expédition/de transport, date limite d’échange des Produits commandés (suivant les modalités exposées à l’article 8).

La confirmation envoyée par Maison Labiche au Client entraîne la formation du contrat entre le Client et Maison Labiche. Dès lors, à compter de la validation de la commande, celle-ci ne peut plus être modifiée et ne peut être annulée que dans les conditions et suivant les modalités de l’article 5.

4. MODALITES DE PAIEMENT

A compter de la date de confirmation de sa commande, le Client dispose d’un délai de 8 (huit) jours pour procéder au paiement d’un acompte correspondant à 30 % TTC du prix total de la commande, selon les modalités indiquées par Maison Labiche dans le courriel de confirmation envoyée au Client.

Préalablement l’expédition des Produits commandés, Maison Labiche adresse au Client un courriel de demande de règlement du solde du prix total de la commande. A défaut de règlement du solde, Maison Labiche est en droit de ne pas expédier au Client les Produits commandés.

Maison Labiche émet une facture au titre de la commande du Client au jour de l’expédition des Produits commandés.

Dans l’hypothèse où Maison Labiche aurait procédé à l’expédition des Produits commandés sans que le Client n’ait procédé au paiement du solde du prix total de la commande, le Client sera redevable envers Maison Labiche, à compter du jour suivant l’émission de la facture, d’une pénalité de retard correspondant à trois fois le taux d’intérêt légal en vigueur, calculée sur le montant TTC du solde dû, outre une indemnité forfaitaire de 40 € au titre des frais de recouvrement.

Les frais bancaires occasionnés par un virement international sont à la charge du Client.

5. CONDITIONS D’ANNULATION ET DE MODIFICATION

Les commandes peuvent être annulées ou modifiées par le Client :

• dans un délai de 2 (deux) jours ouvrés suivant la confirmation de la commande par Maison Labiche sans pénalité ;
• dans un délai de 8 (jours) suivant l’expiration du délai de 2 (deux) jours précité ; dans cette hypothèse, le Client devra verser à Maison Labiche, à titre de pénalité (i) en cas d’annulation une somme correspondant à 30 % du prix total HT de la commande (ainsi, si l’acompte a déjà été versé par le Client à Maison Labiche, Maison Labiche conservera la totalité de l’acompte, à titre de pénalité) ; (ii) en cas de modification une somme correspondant à 30 % de la différence entre le prix total HT de la commande initiale et le prix total HT de la commande modifiée.

Au-delà de ce délai 8 (huit) jours, aucune annulation ou modification de la commande par le Client n’est autorisée et l’intégralité du prix de la commande sera due à Maison Labiche.

 6. TRANSFERT DE PROPRIETE ET DES RISQUES

Les transferts de propriété des Produits et des risques attachés aux Produits de Maison Labiche vers le Client s’opèrent à l’expédition des Produits.

7. EXPEDITION ET LIVRAISON

Le Client est informé par le courriel de confirmation envoyé par Maison Labiche de la période de livraison des Produits.

Les envois des Produits sont pris en charge par un prestataire logistique mandaté par Maison Labiche qui achemine les Produits commandés vers l’adresse indiquée par le Client lors de la commande. Maison Labiche ne pourra voir sa responsabilité engagée si l’adresse communiquée par le Client est erronée, empêchant ou retardant ainsi la livraison.

Les frais d’expédition/de livraison sont à la charge du Client et ont été établis conformément aux éléments de tarification communiqués au Client par Maison Labiche dans le courriel de confirmation de la commande.

A la livraison, il appartient au Client de vérifier que les produits livrés sont conformes à la commande.

8. RECLAMATIONS ET ECHANGES

Les Produits sont garantis neufs et sans défauts. Toutefois, si malgré tous les efforts de Maison Labiche, un Produit livré présenterait un défaut, le Client doit en avertir Maison Labiche par l’envoi d’un courriel à l’adresse victoire@maisonlabiche.com dans un délai de 3 (trois) jours ouvrés suivant la livraison des Produits avec les références du Produit concerné et une photographie de haute qualité du défaut allégué.

A défaut de respect de ces conditions, le Produit sera réputé sans défaut et aucun échange ne sera possible.

Si ces conditions sont respectées, Maison Labiche informera le Client par courriel de la procédure de renvoi, laquelle devra impérativement être respectée par le Client. Si le défaut est confirmé par Maison Labiche, Maison Labiche procèdera à un échange du/des Produit(s) concerné(s) par le(s) même(s) Produits, ou, à défaut de disponibilité du Produits, au remboursement du prix du Produit au Client dans ses meilleurs délais et en tout état de cause dans un délai maximal de 20 (vingt) jours suivant la réception du Produit.

Postérieurement à la livraison et au complet paiement des Produits commandés, le Client a la possibilité de solliciter, une unique fois par collection, un échange des Produits livrés et sans défaut par l’envoi d’un courriel à l’adresse victoire@maisonlabiche.com sous réserve du respect des conditions suivantes : (i) les Produits que le Client souhaite échanger ne représentent pas plus de 20 % du prix total HT de la commande (ii) le Client s’engage à commander des Produits de la même collection, parmi les Produits disponibles indiqués par Maison Labiche, pour un montant représentant au moins 130 % HT du prix des Produits échangés (à titre d’exemple, si le prix des Produits échangés est de 1.000 € HT, le Client s’engage à commander des Produits à hauteur de 1.300 € HT) (iii) le Client respecte la date limite de demande d’échange indiquée dans le courriel de confirmation de la commande envoyé par Maison Labiche ; (iv) le Client retourne à Maison Labiche les Produits concernés dans un délai de 10 (jours) maximum à compter de la demande Maison Labiche ; (v) les frais de renvoi Produits échangés et de réexpédition des nouveaux Produits commandés demeurent à la charge du Client.

Maison Labiche procèdera à l’expédition des nouveaux Produits commandés au Client dans ses meilleurs délais et en tout état de cause dans un délai maximal de 20 (vingt) jours suivant la réception des Produits échangés.

Un Produit lavé par quelque moyen que ce soit, ou porté, même défectueux, ne peut faire l’objet d’aucune réclamation, ni d’aucun échange.

9. PROPRIÉTÉ INTELLECTUELLE

Maison Labiche est une marque protégée, déposée à l'INPI français et au WIPO de Madrid.

Nul n'est autorisé à reproduire, exploiter, distribuer, copier, vendre, stocker, louer ou utiliser à quelque titre que ce soit, même partiellement, des éléments du site ou publiés par Maison Labiche, et notamment et sans limitation, tous textes, fichiers, images animées ou non, photographies, vidéos, logos, dessins, modèles, logiciels, marques, identité visuelles, base de données, structure du site et tous autres élément de propriété intellectuelles protégés par les lois et règlements français, européen et internationaux, sauf accord écrit et expresse de Maison Labiche.

A défaut, Maison Labiche se réserve la possibilité d’entreprendre toutes les actions judiciaires à sa disposition à l’encontre des personnes qui n’auraient pas respecté ces interdictions.

 10. LIEU ET PRIX DE REVENTE

Le Client s'engage à ne vendre les Produits qu'aux consommateurs finaux et exclusivement dans les magasins ou lieux de vente indiqués par le Client lors de sa commande. Ainsi, le Client ne peut revendre les Produits à des revendeurs professionnels ou procéder à la vente des Produits sur des places de marché en ligne ou les sites Internet spécialisés ou non dans la vente au rabais) sauf accord écrit et expresse de Maison Labiche.

Si ces conditions ne sont pas respectées, Maison Labiche se réserve la possibilité d’entreprendre toutes les actions judiciaires à sa disposition pour obtenir réparation du préjudice subi et faire cesser les ventes interdites.

Le Client ne peut en aucun cas accorder de remises ou pratiquer de prix d'appel sur les Produits hors périodes de soldes.

11. DROIT APPLICABLE ET JURIDICTION COMPETENTE

Tout litige relatif à l’interprétation ou à l’exécution des CGV est soumis au droit français. A défaut d’accord amiable, tout litige entre les parties sera soumis à l’appréciation des juridictions du ressort de la Cour d’appel de Paris.

1. GENERAL PROVISIONS

These general terms and conditions of sale are applicable to all sales of Products (as define in the article 2) concluded  between the company M.L.B., whose headquarter is located at 5 Rue d’Aboukir, 75002, Paris, registered with Paris Trade and Companies Registry under the number 553 606 230 (hereunder “Maison Labiche”) according to its capacity as seller and any natural person or legal professional person  whose main activity involves the sale of the Products is part of his principal activity (hereafter the “Customer”).

 2. PRODUCTS

The products sold by Maison Labiche to the Customer are from the digital showroom available on the following address http://www.showroom.maisonlabiche.com/ (hereunder the “Digital showroom”) and on which the Products are accompanied by a description including their essential characteristics and an illustrative photograph. These photographs are as accurate as possible but do not have any contractual value, therefore Maison Labiche cannot guarantee perfect similarity with the Product, in particular with regard to colour shades.

 3. ORDERS AND EXPRESS ACCPTANCE OF SALES TERMS AND CONDITIONS

The Customer places his order either directly on the Maison Labiche digital showroom or through a sales representative acting directly or indirectly on behalf of Maison Labiche. After selecting the Products ordered, the Customer successfully accesses (i) a summary of his order informing him of the details of the Products ordered and of the total price of the order ; (ii) a page inviting him to enter his contact information and on which the general terms and conditions of sale are available; (iii) a request for his approval  to validate the order and agree to the terms and conditions. This approval by the Customers implies unreserved acceptance of the general terms and conditions of sale. Validation of the order does not result in the formation of a contract between the Customer and Maison Labiche, which is only formed after confirmation of the order by Maison Labiche, under the conditions set out below.

As soon as possible, Maison Labiche will send to the Customers an e-mail confirming the order, including the following information : a summary of the products ordered, the total cost of the order, details of the amounts and due dates of the deposits to be paid by the Customer, the information required to make the payments, the Product’s delivery period, the shipping/transportation costs, and the deadline for exchanging the Products ordered (as set out in Article 8).

The confirmation sent by Maison Labiche to the Customer entails the formation of the contract between the Customer and Maison Labiche. Therefore, from the moment the order is validated, it cannot be modified and can only be cancelled under the conditions and according to the terms of article 5.

 4. PAYMENT TERMS

From the date of confirmation of the order, the Customer has a time limit of 8 (eight) days to pay a deposit corresponding to 30% VAT included of the total price of the order, in accordance with the terms and conditions indicated by Maison Labiche in the confirmation e-mail sent to the Customer.

Prior to shipping the Products ordered, Maison Labiche will send to the Customer an e-mail requesting payment of the balance of the total price of the order. If the balance is not paid, Maison Labiche is entitled not to ship the Products ordered to the Customer.

Maison Labiche issues an invoice for the Customer’s order on the day the ordered Products are shipped.

In the event that Maison Labiche ships the Products ordered without the Customers having paid the balance of the total price of the order, the Customer will owe Maison Labiche, as of the day following the issue of the invoice, a late payment penalty corresponding to three times the legal interest rate in force, calculated on the amount of the balance due, including VAT, in addition to a fixed indemnity of €40 for collection costs.

Any bank charges incurred by an international transfer shall be borne by the Customers.

5. CANCELATION AND MODIFICATION TERMS

The orders can be cancelled or modified by the Customer :

• Within 2 (two) working days following confirmation of the order by Maison Labiche without penalty ;
• Within 8 (eight) days following the expiry of the aforementioned 2 (two) day period ; in this case the Customer must pay Maison Labiche, as a penalty (i) in the event of cancellation, a sum corresponding to 30% of the total price, excluding VAT, of the order (thus, if the Customer has already paid a deposit to Maison Labiche, Maison Labiche will retain the entire deposit, as a penalty) ; (ii) in the event of a modification, a sum corresponding to 30% of the difference between the total price excluding VAT of the initial order and the total price excluding VAT of the modified order.

After this period of 8 (eight) days, no cancellation or modification of the order by the Customer is authorized and the full price of the order will be due to Maison Labiche.

6. TRANSFER OF OWNERSHIP AND RISKS

The transfer of ownership of the Products and the risks attached to the Products from Maison Labiche to the Customer takes place when the Products are shipped.

 7. SHIPPING AND DELIVERY

The Customer is informed by the confirmation e-mail sent by Maison Labiche of the delivery period for the Products.

The products are sent by a logistics service provider appointed by Maison Labiche, which sends the ordered Products to the address indicated by the Customer when ordering. Maison Labiche may not be held liable if the address provided by the Customer is incorrect, thereby preventing or delaying delivery.

Shipping / delivery costs are to be paid by the Customer and have been established in accordance with the pricing information communicated to the Customer by Maison Labiche in the order confirmation e-mail.

Upon delivery, it is the Customer’s responsibility to verify that the products delivered comply with the order.

 8. WARRANTY (CLAIMS /COMPLAINTS) AND EXCHANGES

The Products are guaranteed to be new and free of defects. However, if, despite all of Maison Labiche’s efforts, a Product delivered presents a defect, the Customer must notify Maison Labiche by sending an e-mail to victoire@maisonlabiche.com within 3 (three) working days following the delivery of the Products with the references of the Product concerned and a high quality photograph of the alleged defect.

If these conditions are not met, the Product will be deemed to be without defect and no exchange will be possible.

If these conditions are met, Maison Labiche will inform the Customer by e-mail of the referral procedure, which must be followed by the Customer. If the defect is confirmed by Maison Labiche, Maison Labiche will exchange the Product(s) concerned for the same Product(s) or, if the Product is not available, reimburse the Customer for the price of the Product as soon as possible and in any event within a maximum of 20 (twenty) days following receipt of the Product.

After delivery and full payment for the Products ordered, the Customer may request, once per collection, an exchange of delivered and faultless Products by sending an e-mail to victoire@maisonlabiche.com under the following conditions : (i) the Products that the Customer wishes to exchange do not represent more than 20% of the total price excluding VAT of the order (ii) the Customer undertakes to order Products from the same collection, from among the available Products indicated by Maison Labiche, for an amount representing at least 130% excluding VAT of the price of the Products exchanged (for example, if the price of the Products exchanged is €1,000 excluding VAT, the Customer undertakes to order Products to the value of €1,300 excluding VAT); (iii) the Customer respects the exchange request deadline indicated in the order confirmation e-mail sent by Maison Labiche; (iv) the Customer returns the Products in question to Maison Labiche within a maximum of 10 (days) from Maison Labiche's request; (v) the costs of returning the exchanged Products and of resending the new Products ordered shall be borne by the Customer.

Maison Labiche will ship the New Products ordered to the Customer as soon as possible and in any event within a maximum of 20 (twenty) days following receipt of the exchanged Products.

A Product that has been washed by any means whatsoever, or worn, even if defective, may not be the subject of any claim, nor of any exchange.

 9. INTELLECTUAL PROPERTY

Maison Labiche is a protected trademark, registered with the French INPI and the WIPO in Madrid.

No one is authorized to reproduce, exploit, distribute, copy, sell, store, rent or use in any way whatsoever, even partially, elements of the site or published by Maison Labiche, and in particular and without limitation, all texts, files, images, whether animated or not, photographs, videos, logos, designs, models, software, trademarks, visual identity, databases, site structure and all other elements of intellectual property protected by French, European and International laws and regulations, except with the express agreement of Maison Labiche.

Failing this, Maison Labiche reserves the right to take all legal action available to it against persons who have not respected these prohibitions.

 10. PLACE AND PRICE OF RETAIL

The Customer undertakes to sell the Products only to the final consumers and exclusively in the shops or sales outlets indicated by the Customer when placing the order. Thus, the Customer may not resell the Products to professional resellers or sell the Products on online marketplaces or Internet sites that may or may not be specialized in discount sales, unless Maison Labiche expressly agrees in writing. 

If these conditions are not respected, Maison Labiche reserves the right to take all legal action available to it to obtain compensation for the damage suffered and to halt the prohibited sales.

The customer may not, under any circumstances, grant discounts or practice call prices on the Products outside the sales periods.

 11. JURISDICTION

Any dispute relating to the interpretation or execution of the general terms and conditions of sale is subject to French law. In the absence of an amicable agreement, any litigation between the parties shall be submitted to the appreciation of the courts of the jurisdiction of the Court of Appeal of Paris.
